The following documents are required for company formation:


• Completed application form for registration of a company. Legal address of the company is to be stated on the application. The Companies Act provides for keeping of certain documents, including minutes of the meeting of shareholders and board of directors, at the given address.


Articles of Association of the Company. This is a document describing future activities of the company. There's a choice to create the Articles of Association with detailed description of the shareholders' rights, or go for a minimal version limited with the mandatory articles as per the Companies Act. The shareholders having stated details of names, addresses and passport number must sign the first copy of the Statutes and number of subscribed shares. A lawyer must certify the company's Articles of Association.


Declaration of shareholders. In this document shareholders declare their capability to found a company and absence of legal grounds prohibiting them to act as the founders of a company, for example as per laws on debt collection, bankruptcy and the Companies Act. A lawyer must certify the application of shareholders.


Declaration of directors of the company. In this document the appointed persons confirm their consent to serve as the directors of the company. A lawyer must certify the application of the directors.


Receipt for payment of the state duty.
